Judith is of counsel at Oziel Law. Judith has over 23 years of legal experience with 20 years spent with Bay Street law firms. Prior to starting her own law office in 2019, Judith was a partner at a large downtown full business law firm, specializing in corporate and securities law. Judith has been extensively involved in assisting enterprises both in Canada and outside Canada, helping clients in acquiring or investing in Canadian businesses, starting their own companies, setting up investment funds, going public in Canada by way of IPOs and RTOs, conducting public offerings and private placements, establishing capital pool companies and their IPOs, completing take-over bids, going private transactions and other corporate and securities transactions.
Raised in China, Judith is fluent in Mandarin Chinese and is familiar with the Chinese culture and traditions. Judith has extensive experience representing Chinese and other foreign businesses in going public in Canada and investing in Canadian enterprises.

2021 – Represented Hope Well Capital Corp. (now, Forward Water Technologies Corp.) on its qualifying transaction and listing on the TSX Venture Exchange. The go-public transaction was completed by way of a three-cornered amalgamation between Hope Well Capital Corp., its wholly-owned subsidiary and Forward Water Technologies Inc., a developer of industrial waste water treatment systems based in Sarnia, Ontario
2020 – Represented Boyuan Construction Group, Inc., a Zhejiang based construction company, in its going private transaction and voluntary delisting from the Toronto Stock Exchange
2019 – Represented Lineage Grow Company Ltd. (now Harborside Inc) on its reverse take-over transaction with FLRish, Inc. d/b/a Harborside and listing on the Canadian Securities Exchange. FLRish, Inc. is a California and Oregon based cannabis producer and retailer, with a valuation of US$200 million. The reverse take-over transaction was completed by way of a three-cornered amalgamation between Lineage, its wholly-owned subsidiary and FLRish, Inc.
2019 – Counsel to a Toronto-based medical bioresearch company in its private placement of Cdn$20 million
2017 – Represented CUP Capital Corp. (now, GBLT Corp.) on its qualifying transaction and listing on the TSX Venture Exchange. The go-public transaction was completed by way of a securities exchange between CUP Capital Corp., and GBLT German Battery & Lighting Technologies PLC, a manufacturer of energy storage and lighting products for residential and commercial markets, with a valuation of Cdn$60 million.
2017 – Counsel to Hope Well Capital Corp. in its initial public offering as a capital pool company
2016 – Counsel to a Chinese investor in its US$6 million convertible debenture investment in a marine environmental products developer based in Ontario
2016 – Counsel for a Chinese-owned Ontario investor in investing C$2.5 million equity and C$3 million debt in a Canadian technology company
2016 – Counsel to CUP Capital Corp. in its initial public offering as a capital pool company
2015 – Counsel to TSX-V listed mobile gaming company on capital raise and $100M purchase of Israeli social casino-themed gaming company
2015 – Counsel to a venture capital fund in its establishment as a limited partnership
2015 – Counsel to purchaser of a Toronto-based TV station
2014 – Represented Kam & Ronson Media Inc. in its going private transaction and voluntary delisting from the TSX Venture Exchange
2013 – Counsel to a real estate investment fund in its establishment as a limited partnership and private placement financing
2013 – Acted for PI Financial Corp. as a sponsor for the qualifying transaction between Chrysallis Capital VIII Corp. (now Spectra7 Microsystems Inc.), Redmere Technology Inc. and Fresco Microchip Inc.
2012 – Counsel to a Canadian private telecommunication technology company in selling 100% of its shares to Swedish company Ericsson
2011 – Counsel to Chinese Agricultural Production and Processing Company on Reverse Take-Over Transaction and TSXV Listing
