Our Managing Partner, Allan Oziel, spoke at the M&A Club Toronto on technology acquisitions and the key legal and IP issues that cause transactions to fall apart.

He covered the main areas buyers focus on during diligence, including IP ownership, open-source risk, AI and LLM considerations, weak contractual arrangements, and ownership gaps that often prevent transactions from closing. The topic clearly resonated, generating many questions and a highly engaged discussion throughout the session.
