About the Role

Oziel Law is growing, and we are looking for a detail-oriented, proactive Corporate Law Clerk to join our team.

As a Corporate Law Clerk, you will play a key role in supporting our lawyers and clients on a wide range of corporate matters. You will be responsible for managing and executing corporate transactions from start to finish, while maintaining accurate and organized corporate records.

Key Responsibilities

  • Preparing and filing incorporations (federal and provincial)
  • Managing extra-provincial registrations across Canada
  • Assisting with amalgamations, dissolutions, and continuances
  • Drafting documents for share issuances, transfers, and other corporate changes
  • Supporting corporate reorganizations and transactions
  • Maintaining minute books and corporate records
  • Utilizing and maintaining an entity management platform

Qualifications & Experience

  • 3–6 years of experience as a corporate law clerk
  • Law Clerk or Paralegal diploma required
  • Strong experience with an entity management platform
  • Solid understanding of corporate procedures and filings across jurisdictions
  • Highly organized with strong attention to detail
  • Ability to manage multiple priorities and meet deadlines
  • Clear and professional communication skills
  • Proficiency in and/or working knowledge of legal software (eg. Clio, Athennian), cloud-based software, G-Suite, and Microsoft Office applications
