This position is offered at our office in our North York, Ontario. There is opportunity to work remotely occasionally.
About the Role
As a boutique, we work in small teams with diverse clients and files. Your role will involve supporting start-up, trademarks and M&A matters as well as taking the lead for on-going corporate needs of our clients. You will work and assist with legal software that’s designed to create efficient work-flow and minimize paperwork.
In addition, you will have the opportunity to get involved in innovative R&D initiatives. We believe that diverse teams lead to more creative and well-rounded solutions.

Primary Responsibilities

Prepare and file articles and corporate documentation relating to simple/complex incorporations, partnerships, organizations, amendments and dissolutions.

Prepare and maintain corporate records and minute books, including by-laws, resolutions, registers and ledgers, and annual corporate filings.

Conduct corporate and trademark searches (Canada, US and International trademark databases).

Draft new trademark applications.

Organize and prepare signature packages using our firm’s legal and e-signature software.

Engage in telephone and e-mail communications with clients and third parties for the collection of information, review of client instructions and provision of status updates.

Provide administrative support to the firm’s lawyers.
Qualifications & Education

1 to 3 years of corporate law experience.

Able to work independently as well as in a team-oriented atmosphere.

A solid understanding of legal terminology and knowledge of federal and provincial corporate statutes and procedures.

Successful completion of a post-secondary law clerk, certificate/diploma offered by a recognized Ontario educational institution or demonstrable experience.
- Proficiency n legal software, cloud-based software (electronic signature platforms), G-Suite software (Google Docs, Gmail), and Office 365 software (OneDrive, Word, Excel, Powerpoint).

The following background/experiences would be an asset:

Completion of the ILCO Corporate Law Clerk;
- Working knowledge of Cyberbahn, Fast Company, and Clio;
- Knowledge of Canadian Trademark legislation and procedures; and

Experience in a similar position in a Corporate Law practice.
