Brian has maintained a general business law practice in Ontario since his call to the bar in 2006. Prior to joining Oziel Law as counsel to the firm in 2018, Brian was a partner in the corporate and financial services groups of a large downtown firm in Toronto.

Brian’s background is primarily in corporate and commercial law, having experience in mergers and acquisitions, debt and equity financings and other transactions for a range of small to mid-sized private businesses. He has experience in a variety of corporate matters including organization and restructuring, internal governance, directors’ liability, commercial agreements, and shareholder and partnership matters. Brian also advises start-up companies on business structure, fundamental contracts, ownership agreements and conflicts, intellectual property, equity incentive plans, and rounds of financing.

Brian is actively involved in Toronto’s entrepreneurial community, participating as both an investor in and mentor to start-up and early-stage businesses.

Represented purchasers and vendors on a variety of business acquisitions including purchase of an Ontario private college, a national personal care products distributor, a construction business pursuant to receivership, Toronto-based daycare centre and dental offices, as well as the sale of numerous solar energy projects throughout Ontario. Represented an Ontario-based renewable energy and technologies company on several M&A transactions and a variety of internal reorganizations; represented both borrower and purchaser in several transactions including the financing and acquisition of a northern Ontario saw mill and biomass power plant, as well as an insurance underwriting agency; represented private lender in connection with secured term loan to an Ontario indigenous community; represented both banks and borrowers on many other business loans and credit facilities, and government/grant funding.
